Job Description

As a Corporate Finance Senior Manager, you'll work as part of a team of problem solvers, helping to solve complex business issues from strategy to execution.

Responsibilities include but are not limited to

Perform a lead advisory role in executing cross-border transactions – with direct hands-on experience in structuring acquisitions, joint ventures, divestments and capital raising

Execute live transactions for inbound and outbound investments for strategic / financial investors, provide advice to emerging companies seeking growth capital and shareholders seeking to realize value through financial restructuring and divestment

Evaluate key deal issues and potential deal breakers

Negotiate pricing and review key commercial terms for transaction together with other corporate advisors and lawyers to structure the deal

Prepare marketing pitches and assume a support role in deal origination

Interacting with Senior levels of Management, and exposure to business owners to understand areas such as historical and projected business performance, wider commercial issues, etc

Help management and boards arrive at informed decisions, by providing credible valuation analysis

Establish credibility with existing clients by demonstrating subject matter expertise and knowledge

Contribute to pursuit teams and proposal development including innovative approaches and methodologies tailored to address specific client requirements

Requirements

Significant relevant experience with a background in accounting, corporate finance, investment banking, corporate strategy and restructuring preferably within a professional services environment

Strong business and client relationship network

Solid technical abilities in financial analysis, valuation and financial modeling

Aptitude to originate and execute deals

An investigative mindset with attention to detail with an ability to see the big picture

Committed to developing client relationships with existing and potential clients

Excellent communication (written and oral), good people and client servicing skills

Proven ability to manage project workflows and deliver on time, take ownership of tasks and assignments and accept responsibility for outcomes

Qualifications such as CPA, CA, CFA, MBA will be highly regarded

Your flexibility to travel 20% of the time.

This means we may require you to work away from your base office location on a regular basis and frequent overnight stays may be required.

About The Role

This position is responsible for providing administrative support for multiple senior leaders in KSA. The candidate will perform all administrative functions and will require the ability to successfully balance assignments and a variety of tasks from multiple individuals. This role will be responsible for routine and non-routine tasks and will require independent judgment to plan, prioritize and organize workload. The candidate may interact with Clients and other FTI leaders and will be required to maintain absolute discretion and confidentiality as would be expected of a professional in this role.

What You’ll Do

· Maintaining calendars, identifying conflicts and resolving promptly

· Coordinating all meeting and travel arrangements

· Setting-up conference calls, including contacting/notifying participants

· Creating documents, reports, presentations and spreadsheets using appropriate software and company templates

· Assisting in research projects by efficiently conducting searches of the Intranet/Internet

· Maintaining contact lists and input new business contacts into SalesForce CRM

· Assisting with new client opportunities including initial input into SalesForce and running conflict checks

· Capturing time and expenses within applicable FTI systems

· Maintaining reconciliation of Amex statements as required by Executives

· Assisting in prioritization of correspondence and phone messages

· Completing requests for deliveries, faxes and couriers

· Creating and maintaining paper and electronic files

· Organising client and employee events as and when required

· Assisting with client portal maintenance and assist with tender submissions

· Supporting with the day-to-day smooth running of the office when required

About The Role

The Transaction Services team at FTIConsulting offer a forward-looking perspective to the fast-paced EMEA and global transactions market. Whether representing buyers or sellers, we offer a comprehensive financial due diligence service leading to value-related advice and hands-on support across a full spectrum of industries.

What You’ll Do

Analysing and modelling of financial performance (past and future) of an acquisition target

Owning standalone sections of due diligence (e.g. working capital, net debt, historical performance etc.), reporting directly to Senior Consultants or Directors / MDs

Building, manipulating, and analysing diverse data sets for inclusion in your data book, for which you will hold overall responsibility and accountability

Drafting report sections relevant to your areas of analysis

Driving business development through preparation of pipeline and pitch documents

Communicating effectively with senior members of the team and clients

Developing proactively internal and external relationships

Overview

We are seeking an experienced attorney to join the Corporate & Project Finance Legal Practice of the Project Development & Finance Department in the Law Organization as Senior Counsel.

The Law Organization at Saudi Aramco is responsible for providing legal counsel and advisory services to Saudi Aramco’s business units, subsidiaries and joint ventures. The Corporate & Project Finance Legal Practice within the Law Organization is responsible for, among other matters, advising on, negotiating, and documenting Saudi Aramco’s corporate and project finance transactions and capital market transactions.

Your primary role is to lead the legal activities with respect to the development and implementation of finance and capital markets transactions, including the structuring, negotiation, documentation and execution of such transactions. You will also advise Saudi Aramco Management and internal clients with respect to Saudi Aramco’s legal rights and obligations, agreements, and common statutory or similar processes in connection with finance and capital markets transactions. You will also liaise and work with other attorneys in the Law Organization, as it relates to tax, antitrust, joint venture development and regulatory compliance. In addition, you will engage and manage outside counsel on a cost-effective basis.

You will report to the Practice Leader of the Corporate & Project Finance Legal Practice. While the position is based in Dhahran, this is a global practice and requires commensurate travel.

Duties and Responsibilities

You will be required to perform the following:

  • lead the legal activities with respect to the negotiation and execution of financing transactions in all contexts, including for parent company bank debt and capital markets issuances, as well as joint venture project financings, among others, including the structuring, negotiation, and documentation of such transactions;
  • advise Management and internal clients with respect to Saudi Aramco’s legal rights and obligations, agreements, and common statutory or similar requirements in connection with financing transactions;
  • assist Law Management and other attorneys in marshalling and examining the law and facts pertinent to legal problems; and
  • liaise and work with outside counsel to negotiate and document transactions on a cost-effective basis.

Minimum Requirements

You will hold a JD or equivalent diploma from a recognized and approved program in a common law jurisdiction, preferably with admission to practice before the highest court of the jurisdiction of which the candidate is licensed/qualified.

You will have a minimum of six years of finance experience (i) in a law firm with a strong project finance or capital markets practice; or (ii) comprised of a combination of law firm and in-house experience in a corporation handling finance transactions. In addition, you will have:

  • demonstrable experience working directly with the clients from transaction inception to completion;
  • hands-on experience with structuring, drafting, negotiating, and leading transactions in a first or second chair capacity;
  • experience with international transactions and finance principles;
  • experience coordinating with attorneys in other subject areas; and
  • a self-starting, flexible, pragmatic, and commercially-oriented approach to practicing law.
