IDB3418 - Legal Affairs Officer (Legal Corporate Transactions)

The Legal Corporate Transactions Section (LCTS) is one of the two Sections of the Legal Finance & Administrative Division (LFAD). LCTS’s main activities are to provide legal advisory services in the areas of corporate and institutional legal matters of the Bank. The Legal Affairs Officer (LAO) will be responsible for carrying out a moderate complexity range of legal assignments and support the senior colleagues in the performance of LCTS’s activities and mandate (considering relevant policies, guidelines and regulations) and in line with the prevailing Organizational Manual of the Bank (as may be changed from time to time).

Key Accountabilities

Legal Services Provision:

  1. Preparation, review and negotiation of different types of institutional/corporate contracts/legal instruments and conducting necessary legal due diligence on the counterparties.
  2. Conducting research and preparation of legal notes/memos/legal opinions on various corporate/institutional legal matters in connection with all administrative matters of the Bank, human resources management, institutional procurement, and corporate legal issues arising from the interpretation and application of various IsDB instruments.
  3. Participation in the conceptualization and development of the legal corporate policies, procedures and programs and provide counsel and guidance on legal matters and on legal implications of all matters related thereto.
  4. Ensure the Bank’s compliance with host country agreements, applicable laws and regulations and keep abreast of legislative changes that may affect the Bank and its affiliates.
  5. Coordination and follow-up on the work of external legal counsels engaged to provide legal services to the Bank in legal matters related to mandate of LFAD.
  6. Support with maintaining the corporate contracts dashboard/database and streamlining the related data and reports.
  7. Coordination and follow up with internal clients on LFAD related tasks.
  8. Any other legal services/tasks that may be required in respect of the functions and role of the LFAD.
  9. Assist in the preparation, development and implementation of the LFAD related plans and programs.
  10. Participate in the Divisions activities and support the performance of LFAD’s mandate and plans.

Operational Excellence & Knowledge Share:

  1. Keeps abreast with the latest developments, regulations and leading practices in the field and proposes necessary improvements.
  2. Propose and implement process improvements to increase efficiency, effectiveness, and compliance of the related transactions, projects and activities.
  3. Provide legal expertise, research, and knowledge services, and guidance relating to relevant areas of expertise.
  4. Support in the preparation and submission of periodic reports as per management requirements.
Academic and Professional Qualifications

Bachelor’s degree in Law.

Minimum 3 years of relevant experience in the legal field (with a law firm and/or in-house) on contract law, corporate law, public and private international law, development law, institutional legal matters and similar subjects.
