- Law degree from a recognized university.
- Must be a Saudi resident.
- Between three (3) to five (5) years of demonstrable relevant experience in a similar corporate governance position or company secretarial role, preferably gained in an international group.
- Proven experience supporting the governance of listed companies in Saudi Arabia, including direct exposure to CMA or Saudi Exchange governance matters.
- Legal training in corporate law and experience in a reputable regional or international law firm or in-house is an advantage.
- Experience in using entity management software.
- Strong understanding of MENA region's legal systems and corporate governance practices, particularly in the UAE (mainland and freezone) and KSA.
- Strong project management skills, with the ability to manage a complex workload and prioritize tasks effectively.
- Ability to work in a regulated environment and navigate complex regulatory requirements.
- Excellent analytical, communication, and negotiation skills.
- Team player with the ability to collaborate effectively across departments.
- Self-motivated, detail-oriented, and adaptable in a fast-paced environment.

Objective:
General Responsibilities:
- Define and recommend legal strategies and objectives designed to exploit or mitigate the group's legal opportunities or exposure.
- Analyze and balance highest level of complexity (e.g., cross-regional conflicts of laws) and develop risk-based solutions.
- Collaborate with Head of Legal and team (i.e., Regional General Counsels) to establish best in class global legal processes/ procedures across regions to assure business objectives are met and legal opportunities and risks are identified and exploited or mitigated.
- Advice and counsel the business teams in KSA on legal matters involving a specific area of law (e.g., employment, labor, specific industry vendor/customer contracting).
- Advice and counsel the businesses served on critical litigations, such as litigation involving high value / complexity, international customer or suppliers or others with significant value and/or risk exposure.
- Lead, direct and evaluate work associated with Legal Counsel, Patent/Intellectual Property Law, Legal Research & Document Drafting, Contract Negotiation & Administration and Legal Records Management.
Qualification:
- Bachelor’s Degree in Law. (mandatory).
- LL.M from UK or USA based reputable Law Schools.
- KSA Law Qualifications & Bar Certificate. (Preferable).
- MBA in Business Administration or Law. (Preferable).
- 10+ Years’ Experience in Law, with at least 5 years of leadership experience.
Knowledge & Skills:
- Manage a department or a small unit that includes multiple teams led by Managers and/or Team Leaders.
- Typically, a highly experienced manager who manages within a nominated sub-function.
- Responsible for short to mid-term (1-3 years) execution of functional strategy and operational direction.
- Good skills in the legal negotiation such as mergers and acquisitions, tender bidding, and contract acquisitions.
- Problems faced are often complex and require extensive investigation and analysis.
- Ability to identify and remedy complex legal issues without inviting the services of external legal advice.
- Ability to draft and manage complex patent, trademark, and regulatory documentation, handling such matter comfortably within a fast-paced business environment.
- Communicate and influence senior business leaders outside of own job area to accept practices and approaches.
- Develop strong, trusting relationships with senior business leaders across the business.
- Cooperate with and coordinate 3rd parties e.g., external service providers.

We are seeking an experienced attorney to join the Corporate & Project Finance Legal Practice of the Project Development & Finance Department in the Law Organization as Senior Counsel.
The Law Organization at Saudi Aramco is responsible for providing legal counsel and advisory services to Saudi Aramco’s business units, subsidiaries and joint ventures. The Corporate & Project Finance Legal Practice within the Law Organization is responsible for, among other matters, advising on, negotiating, and documenting Saudi Aramco’s corporate and project finance transactions and capital market transactions.
Your primary role is to lead the legal activities with respect to the development and implementation of finance and capital markets transactions, including the structuring, negotiation, documentation and execution of such transactions. You will also advise Saudi Aramco Management and internal clients with respect to Saudi Aramco’s legal rights and obligations, agreements, and common statutory or similar processes in connection with finance and capital markets transactions. You will also liaise and work with other attorneys in the Law Organization, as it relates to tax, antitrust, joint venture development and regulatory compliance. In addition, you will engage and manage outside counsel on a cost-effective basis.
You will report to the Practice Leader of the Corporate & Project Finance Legal Practice. While the position is based in Dhahran, this is a global practice and requires commensurate travel.
Duties and Responsibilities
You will be required to perform the following:
- lead the legal activities with respect to the negotiation and execution of financing transactions in all contexts, including for parent company bank debt and capital markets issuances, as well as joint venture project financings, among others, including the structuring, negotiation, and documentation of such transactions;
- advise Management and internal clients with respect to Saudi Aramco’s legal rights and obligations, agreements, and common statutory or similar requirements in connection with financing transactions;
- assist Law Management and other attorneys in marshalling and examining the law and facts pertinent to legal problems; and
- liaise and work with outside counsel to negotiate and document transactions on a cost-effective basis.
Minimum Requirements
You will hold a JD or equivalent diploma from a recognized and approved program in a common law jurisdiction, preferably with admission to practice before the highest court of the jurisdiction of which the candidate is licensed/qualified.
You will have a minimum of six years of finance experience (i) in a law firm with a strong project finance or capital markets practice; or (ii) comprised of a combination of law firm and in-house experience in a corporation handling finance transactions. In addition, you will have:
- demonstrable experience working directly with the clients from transaction inception to completion;
- hands-on experience with structuring, drafting, negotiating, and leading transactions in a first or second chair capacity;
- experience with international transactions and finance principles;
- experience coordinating with attorneys in other subject areas; and
- a self-starting, flexible, pragmatic, and commercially-oriented approach to practicing law.
