JOB OBJECTIVE:
Contract Manager within the Legal Contract Management Team for KSA & CA, covering KSA Projects.

ROLES & RESPONSIBILITIES:

  • Contract Law & Contract Drafting
  • Understanding legal principles and procedural rules in contract law.
  • Drafting precise contract clauses that reflect the parties' intent.
  • Keeping records of negotiations to preserve legal proof.

WORK EXPERIENCE REQUIREMENTS
:

  • +5 years of relevant experience in In-house Legal, contracts and commercial management in international environment with exposure to FIDIC contracts, Public Procurement contracts, Corporate Laws and Trade compliance.
  • Practical experience in KSA legal systems and Laws, Civil Law and Common law and comparative legal practices and exposure to Middle East legal environment.

QUALIFICATION, CERTIFICATION & EDUCATIONAL REQUIREMENTS
:

Bachelor or Master Degree in laws (Private Law, Commercial Law, Corporate Law) or in Business administration, engineering or similar.

PREFERRED SKILLS:

  • Proficiency in English (written & verbal)
  • Strong understanding of FIDIC contracts, Public Procurement contracts, Corporate Laws, and Trade Compliance
  • Knowledge of KSA legal systems, Civil Law, Common Law
  • Contract drafting, negotiation, and management
  • Ability to ensure coherence between contractual documents (T&Cs, scope of work, specifications)
  • Experience with contracts involving government and semi-government organizations
  • Awareness of regulatory frameworks: export control, environmental, health & security policies
  • Financial and risk assessment skills (cost estimates, price revisions, contingencies, taxes)

We are seeking an experienced Middle East Legal Counsel to provide comprehensive legal support across the region. This role is central to ensuring compliance with local laws and regulations while supporting our strategic and operational objectives in a dynamic, multicultural environment.

Responsibilities
  • Provide clear and timely legal advice on corporate, commercial, regulatory, and employment law matters.
  • Draft, review, and manage contracts, agreements, MOUs, and lease documentation.
  • Oversee compliance with local, regional, and international regulations, including anti-bribery, competition, and data protection.
  • Manage disputes, litigation, arbitration, and liaise with external counsel as required.
  • Support corporate governance, including entity management and company secretarial functions across the region.
  • Collaborate with internal teams (finance, HR, operations) and build strong relationships with regulators and external legal advisors.
  • Drive continuous improvement by ensuring high standards in legal processes, governance, and risk management.
Qualifications
  • Bachelor’s degree in Law (LLB or equivalent); LLM or equivalent qualification preferred.
  • Minimum 10 years of post-qualification experience, with a background in both private practice and in-house roles.
  • Strong knowledge of Middle Eastern legal systems, particularly GCC laws.
  • Fluency in Arabic (reading, writing, and conversation).
  • Demonstrated expertise in corporate, commercial, and regulatory matters.
  • Strong drafting, negotiation, and communication skills with proven commercial acumen.
  • Ability to operate effectively in a multicultural, fast-paced environment.

Overview

The Contracts & Legal Manager leads and manages all contractual and legal aspects of the company’s business operations, including drafting, reviewing, and negotiating commercial contracts, ensuring legal compliance with local and international laws, managing risks, and providing expert legal advice to support strategic decision-making. The role protects the company’s interests and ensures contractual obligations are fulfilled efficiently and in line with company policies and legal standards.

Responsibilities
  • Draft, review, negotiate, and finalize a wide range of commercial contracts, including client agreements, vendor contracts, NDAs, partnership agreements, and service-level agreements.
  • Develop and implement contract templates, procedures, and governance frameworks to standardize processes and ensure efficiency.
  • Ensure all contracts are legally sound, aligned with business objectives, and compliant with regulatory requirements.
  • Monitor contract performance, manage renewals, amendments, and terminations, and ensure timely execution of deliverables.
  • Maintain a centralized contracts repository and ensure proper documentation, version control, and archiving.
  • Provide legal advice and support on a broad range of matters, including commercial, corporate, labor, regulatory, and compliance issues.
  • Ensure company policies, procedures, and business activities comply with applicable laws and regulations in Saudi Arabia and other relevant jurisdictions.
  • Liaise with external legal counsel and regulatory bodies when necessary and manage relationships to achieve favorable outcomes.
  • Conduct legal risk assessments and recommend appropriate mitigation strategies to protect the company’s interests.
  • Keep the leadership team updated on new legislation, legal trends, and potential impacts on business operations.
  • Identify, assess, and mitigate legal and contractual risks across the organization.
  • Support internal audits, due diligence processes, and corporate governance initiatives.
  • Contribute to the development and enforcement of internal policies, compliance programs, and codes of conduct.
  • Advise management on dispute resolution strategies and support litigation or arbitration processes as needed.
  • Work closely with internal departments (Sales, Finance, Procurement, HR, etc.) to provide legal input and align contractual terms with business needs.
  • Support business development activities by ensuring contracts reflect commercial objectives while minimizing legal exposure.
  • Deliver training and awareness sessions to internal teams on contract management, legal risks, and compliance requirements.
